1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and Karibew Inc., a Delaware corporation ("crewkit," "we," "us," or "our"). By accessing or using crewkit services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use our services.

These Terms apply to all users, including individual developers, organizations, and administrators. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization. Additional terms may apply to specific features or services.

2. Service Description

crewkit provides an observability, governance, and continuous improvement platform for AI-assisted engineering teams. The service includes:

  • Session tracking, analytics, and cost visibility across teams
  • Resource management with 3-tier inheritance (agents, skills, commands, rules)
  • Role-based agent configurations with coaching and autonomy modes
  • A/B testing and experiment framework for agent configurations
  • Command-line tools for local development integration
  • Web dashboard for managing organizations and projects

We reserve the right to modify, suspend, or discontinue any part of the service with at least 30 days' notice, except where immediate changes are required for security or legal compliance.

3. Third-Party Services

crewkit integrates with and relies upon third-party services:

  • Claude Code (Anthropic): The crewkit CLI wraps Claude Code to provide enhanced functionality. Your use of Claude Code is subject to Anthropic's Terms of Service and Privacy Policy.
  • GitHub: Git integration features require a GitHub account and are subject to GitHub's terms.
  • Stripe: Payment processing is handled by Stripe, subject to Stripe's Terms of Service.

We are not responsible for the availability, accuracy, or conduct of third-party services. Your use of these services is at your own risk.

4. CLI and Data Collection

The crewkit CLI collects usage data as described in our Privacy Policy, including:

  • Session telemetry (token counts, costs, duration)
  • Error reports for debugging and service improvement
  • Git repository metadata for project detection

By using the CLI, you consent to this data collection. Privacy controls are available in your organization settings as described in our Privacy Policy. Note that crewkit's privacy settings do not affect data collection by Claude Code, which operates under Anthropic's policies.

5. User Accounts and Registration

To use crewkit, you must:

  • Be at least 18 years old
  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breaches

You are responsible for all activities that occur under your account. Organizations are responsible for their members' compliance with these Terms.

6. User Responsibilities and Acceptable Use

You agree not to:

  • Use the service for any unlawful or fraudulent purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to systems or data
  • Interfere with or disrupt the service or servers
  • Upload malicious code, viruses, or harmful content
  • Abuse, harass, or harm other users
  • Reverse engineer, decompile, or disassemble the service
  • Use the service to compete with crewkit or build similar products
  • Use AI agents to generate content that violates Anthropic's usage policies
7. Intellectual Property

Our Rights: crewkit and its associated trademarks, logos, and content are owned by Karibew Inc. and protected by intellectual property laws. You may not use our branding without permission.

Your Content: You retain ownership of agent configurations, experiment data, and content you create. You grant us a limited, non-exclusive license to use this content solely to provide and improve the service.

Open Source CLI: The crewkit CLI is open source and distributed under its own license terms, available in the CLI repository. The open source license governs the CLI source code; these Terms govern your use of the crewkit hosted services (API, dashboard, and platform features).

8. Free Trials

Paid plans include a 14-day free trial. During the trial period:

  • You have full access to the features of the selected plan
  • No payment is required until the trial ends
  • You may cancel at any time during the trial without being charged
  • At the end of the trial, you may choose a paid plan or switch to the Free tier

We reserve the right to modify or discontinue free trials at any time. Trial availability, duration, and features may vary. All data created during the trial is preserved regardless of which plan you choose.

9. Payment and Billing

Paid plans are billed in advance on a subscription basis. All payments are processed securely through Stripe. You agree to:

  • Provide accurate and complete billing information
  • Pay all fees when due
  • Update payment methods if they expire or become invalid

We may change pricing with at least 30 days' notice. Cancellations take effect at the end of the current billing period. Refunds for unused portions of a billing period are available within 14 days of payment; after that, refunds are provided at our discretion. 10. Service Level Agreement

Enterprise plan customers may be eligible for a Service Level Agreement (SLA) that defines uptime commitments, support response times, and remedies for service disruptions. SLA terms are provided as a separate agreement upon request.

11. Limitation of Liability

The service is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

Our total aggregate liability shall not exceed the greater of (a) the amount you paid us in the 12 months prior to the event giving rise to liability, or (b) one hundred US dollars ($100).

We are not liable for any actions, outputs, or consequences arising from Claude Code or other AI services integrated with crewkit. AI-generated outputs are provided without warranty of accuracy or fitness.

12. Indemnification

You agree to indemnify, defend, and hold harmless Karibew Inc. and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you submit or create through the service
  • Code or content generated by AI agents under your direction
13. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms.

Upon termination, your right to use the service ceases. We will retain your data for a 30-day grace period during which you may export your data. After the grace period, we may permanently delete your data. Sections 7, 11, 12, 14, and 16 survive termination.

14. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

Arbitration: Any disputes arising from these Terms or the service will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except where prohibited by law.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions or class-wide arbitration.

Opt-Out: You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@crewkit.io within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.

15. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms due to causes beyond their reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages (including Anthropic, GitHub, or cloud infrastructure providers).

16. General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms, together with the Privacy Policy and any applicable SLA or Data Processing Agreement, constitute the entire agreement between you and Karibew Inc. regarding the service.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.

17. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice through the service, by email, or by posting a notice on our website. Non-material changes (such as clarifications or formatting) may be made without notice. Continued use of the service after the effective date of changes constitutes acceptance of the updated Terms.
